Terms of Service.
Effective May 2026. By using novasoft.global or any service supplied by Novasoft FZCO, you agree to be bound by the terms in this section.
1.1 Acceptance. By accessing the Website or using any Service, you accept these Terms of Service. If you do not accept, do not use the Website or any Service.
1.2 Services. Novasoft FZCO ("Novasoft") provides implementation, support and managed services for Microsoft Dynamics 365, LS Central, the Novasoft AppSource IP add-ons (NOVAPROD, NOVAREQ, NOVAQC, NOVATRADE, NOVAPOWER, NOVAHUB, WhatsApp Bill and related products) and complementary Microsoft Azure, Microsoft 365, Power Platform and Microsoft Fabric solutions.
1.3 Statement of Work. All paid engagements are scoped via an individual statement of work ("SoW") referencing the master services agreement between Novasoft and the customer. The SoW takes precedence in the event of conflict.
1.4 Software licensing. Microsoft products are licensed under the Microsoft Customer Agreement (MCA) or Microsoft Volume Licensing. LS Retail products are licensed under the LS Retail End User Licence Agreement. Novasoft AppSource apps are licensed under the Novasoft Software Licence Agreement included with the Dynamics deployment.
1.5 Account responsibility. You are responsible for safeguarding any credentials issued to you, for activity that occurs under your account, and for ensuring that data you submit complies with applicable law.
1.6 Acceptable use. You may not use the Website or Services to violate any law, infringe intellectual property rights, transmit malware, attempt unauthorised access, or interfere with service availability for other users.
1.7 Termination. Novasoft may suspend or terminate access in the event of material breach of these Terms, non-payment, or where required by law. Termination does not affect rights or liabilities accrued before termination.
1.8 Changes. Novasoft may amend these Terms by posting a revised version on this page. Continued use of the Website or Services after posting constitutes acceptance of the revised Terms.
Refund Policy.
Refund eligibility depends on the product or service type. Each category below sets out the applicable rule.
2.1 Microsoft AppSource subscriptions. Novasoft AppSource apps purchased through Microsoft AppSource are subject to the Microsoft AppSource refund terms. Refund requests for AppSource subscriptions must be raised via the Microsoft 365 admin centre billing portal within the Microsoft-defined refund window.
2.2 Implementation and professional services. Time and materials billed for implementation, consulting, training, configuration and integration services are non-refundable once work has commenced. Fixed-price engagement deliverables not yet started can be cancelled with a documented written notice; partial-progress deliverables are billed at the percentage complete on the date of notice.
2.3 NovaCare 360° managed support retainers. Pre-paid NovaCare 360° retainers are refundable on a pro-rata basis if the customer cancels the plan with 30 days written notice. The pro-rata refund is calculated against unused months from the date of the cancellation notice.
2.4 Custom development. Custom development work is billed against milestones documented in the SoW. Milestone deliverables that have been accepted by the customer are non-refundable. In-progress milestones are billed at the percentage of completion.
2.5 Refund processing. Approved refunds are processed within 30 business days to the original payment method. Cross-border refunds may take longer subject to the receiving bank’s processing time.
2.6 Disputes. Refund disputes are first escalated to the named account manager. If unresolved within 30 days, the dispute proceeds under the Governing Law section below.
Disclaimer.
4.1 Website content. Information on novasoft.global is provided on an “as-is” and “as-available” basis without warranty of any kind, express or implied. Novasoft makes no representation that the content is accurate, complete, current or fit for a particular purpose.
4.2 No professional advice. Content on the Website does not constitute legal, tax, accounting, financial or investment advice. You should consult a qualified professional before acting on any information.
4.3 Third-party content. The Website may link to third-party resources (including Microsoft Learn, LS Retail documentation, Microsoft AppSource and government regulators). Novasoft does not endorse and is not responsible for the content, accuracy or availability of those resources.
4.4 Limitation of liability. To the maximum extent permitted by law, Novasoft, its officers, employees and contractors are not liable for any indirect, incidental, special, consequential or punitive damages arising from use of the Website or any Service. Novasoft’s aggregate liability for any direct damages is limited to the amount paid by the customer to Novasoft in the twelve months preceding the event giving rise to the claim.
4.5 Force majeure. Novasoft is not liable for any delay or failure to perform caused by events outside its reasonable control, including natural disasters, pandemics, government restrictions, internet outages, or third-party cloud service interruptions.
Data Protection summary.

5.1 Regimes that apply. Novasoft processes personal data in line with:
- The EU/UK General Data Protection Regulation (GDPR) for visitors and customers in the EEA, UK and Switzerland.
- The Saudi Personal Data Protection Law (PDPL), Royal Decree M/19 of 1443H, for data subjects in the Kingdom of Saudi Arabia. Regulator: SDAIA.
- The UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, for data subjects in the United Arab Emirates.
5.2 Your rights. Right of access, rectification, erasure, restriction of processing, data portability, and objection to processing. Exercise any right by emailing contact@novasoft.global with the subject “Data protection request”. We respond within 30 days as required by the applicable law.
5.3 International transfers. Personal data may flow between Novasoft entities in the UAE, KSA, India and the USA. Cross-border transfers from the EEA/UK rely on Standard Contractual Clauses with supplementary technical and organisational safeguards.
5.4 Data breaches. Novasoft notifies affected data subjects and the relevant supervisory authority within 72 hours of becoming aware of a personal data breach where the breach is likely to result in a risk to the rights and freedoms of natural persons.
Governing Law.
6.1 Master services agreement. Master services agreements signed with Novasoft FZCO (registered in Jebel Ali Free Zone, Dubai, UAE) are governed by the laws of the United Arab Emirates and the regulations of the Jebel Ali Free Zone Authority.
6.2 Regional entities. Customer engagements signed with Novasoft’s KSA, India or USA operating entities are governed by the local law of each respective entity unless the master services agreement specifies otherwise.
6.3 Dispute resolution. Disputes arising under these Terms are resolved first by good-faith negotiation between the parties. If unresolved within 60 days, the dispute is referred to binding arbitration in accordance with the Dubai International Arbitration Centre (DIAC) Rules, in the English language, in Dubai. Where the engagement is signed with a regional entity, the arbitration seat may be amended in the SoW.
6.4 Equitable relief. Nothing in this section prevents either party from seeking injunctive or other equitable relief to protect its intellectual property or confidential information in any court of competent jurisdiction.
IP & Licensing.
7.1 Novasoft IP. The Novasoft trademark, the “NOVA-” product family marks (NOVAPROD, NOVAREQ, NOVAQC, NOVATRADE, NOVAPOWER, NOVAHUB, WhatsApp Bill, NovaCare 360° and related variants), the Website design, content and code are the intellectual property of Novasoft FZCO and its affiliates.
7.2 Microsoft IP. Microsoft Dynamics 365, Business Central, Microsoft Fabric, Power Platform, Microsoft 365, Azure, Copilot Studio and related trademarks are property of Microsoft Corporation. Use of these names on novasoft.global is for descriptive purposes only and does not imply endorsement.
7.3 LS Retail IP. LS Retail, LS Central, LS Central for Hospitality, LS Central for Fashion, LS Commerce and related trademarks are property of LS Retail ehf. Novasoft is an authorised LS Retail Diamond Partner.
7.4 Customer data. The customer retains all rights, title and interest in customer data ingested or processed by Novasoft services. Novasoft processes customer data only as a data processor on the customer’s instructions for the duration of the services.
7.5 Restrictions. You may not copy, modify, distribute, sell, reverse-engineer or create derivative works from any Novasoft IP, code or content without prior written permission. Linking to publicly accessible Website pages is permitted.
